If you are using our Services on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Eligibility

Our Services are intended for professional buyers and businesses. To use our Services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Represent a legitimate business entity
  • Complete our verification process and be approved for access

3. Account Registration

To access certain features of our Services, you must register for an account and complete our application process. You agree to:

4. Marketplace Services

Catalist operates a B2B marketplace connecting professional buyers with brand-authorized inventory. By using our marketplace, you understand and agree that:

  • All products are sourced from authorized manufacturers and brand partners
  • Documentation provided with orders traces to the manufacturer source
  • Pricing and availability are subject to change without notice
  • Orders are subject to our acceptance and verification procedures
  • We reserve the right to refuse or cancel orders at our discretion

5. Payment Terms

Payment terms for orders placed through our platform will be specified at the time of order. You agree to pay all fees and charges associated with your account and orders in accordance with the payment terms provided. All fees are non-refundable unless otherwise specified.

6. Intellectual Property

The Services and all content, features, and functionality are owned by Catalist Group and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, or otherwise use our intellectual property without our prior written consent.

7. Prohibited Conduct

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws
  • Provide false or misleading information during registration or use of the Services
  • Attempt to gain unauthorized access to any part of the Services
  • Interfere with or disrupt the Services or servers connected to the Services
  • Use any automated means to access the Services without our express permission
  • Share your account credentials with third parties

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CATALIST GROUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

10. Indemnification

You agree to indemnify, defend, and hold harmless Catalist Group and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

11. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the date at the top of these Terms. Your continued use of the Services after any changes indicates your acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
